On April 20, 2020, the Superintendence of Market Power Control published Resolution SCPM-DS-2020-018 establishing a fast-track process to investigate certain operations subject to the ex-ante notification regime. What will be explored in this article is one of the cases that qualify to benefit from the fast-track process: the failing-firm defense exception.In summary, the Superintendence of Market Power Control has said that it will now take less time to review operations that target a company in economic difficulties, and it outlines the material parameters it will use to guide that decision. How-ever, such inclusion brings with it much more than it appears.

Currently, according to the latest survey of perception on corruption in Perú corruption is the second biggest problem for the country, the first being citizen insecurity.In recent years, Peru has experienced many corruption scandals closely related to private sector companies, such as the Lava Jato, Club de la Construcción cases, among others; where the participation of public companies under private law such as Petro Perú stands out. For this reason, it is proposed to promote tools such as the governance of the principles of good corporate governance as a mechanism for the prevention of corporate corruption.

Basa en un modelo estándar modelo CDM (debido a Crepon, Duguet y Mairesse, 1998) y datos a nivel de firmas, este trabajo analiza la interacción entre actividades de ciencia, tecnología e innovación (STI) y la productividad laboral para el año 2004. También se estimaron los efectos de restricciones financieras, riesgos de la innovación y distorsiones en la estructura del mercado sobre las decisiones de actividades STI de las firmas. Las estimaciones indican que el tamaño de las firmas es un importante factor en las decisiones de las firmas en invertir en actividades STI. La participación de la firma en el marco fue otro factor determinante en la intensidad o el monto de inversión en dichas actividades. On May 11, 2020, during the health and economic crisis caused by COVID-19, Legislative Decree 1510 was issued, which made a few amendments to various rules on free and fair competition. One of the amendments provided that the Law on Merger Control added, as a criterion to be considered for the procedures for assessing a merger, the financial crisis of one of the companies concerned and the need to carry out the merger duly accredited by the notifying parties.
