The functions performed by the Board of Directors are delimited by the diligence and loyalty duties it maintains with the company. However, this delimitation is developed on the basis of the normal operation of the company in question. However, this delimitation structured based on regular business situations, leaving undefined duties that may be demanded during a situation of financial difficulties.This article will explore how the behaviour of the Board of Directors should be when companies are in the ‘zone of insolvency’ considering the different economic scenarios that may arise in distress situations.

In the 21st century, the growth of various industries and economic sectors has generated that the companies try to adapt to the demands of the of the market. Within the legal scope, such adaptation is not alien, as it establishes a direct relationship with the corporate form adopted by the companies in reality, being that a certain company will be constituted (anonymous, limited, closed, etc.) according to the functionality and treatment legal basis for its creation. With this, a diversity arises of problems and issues that deserve special attention. Within the contemplated by the General Companies Law (hereinafter, LGS), it is presented the corporate figure of the exclusion of partners, a subject that has not been studied in depth in our national legislation.

The article analyzes the user complaint procedure in regulated sectors, highlighting its importance in the economy and the protection of consumer rights. It examines the dispute resolution function recognized for regulatory agencies, as well as the general regulatory framework applicable to Osiptel, Osinergmin, Sunass, and Sutran, in order to understand its legal-administrative nature.Based on this, key issues are discussed, such as the trilateral configuration of the procedure, the debate on whether concessionary companies can be considered part of the Public Administration when resolving complaints, and the limitations in provides a basis for reflecting on the regulatory and procedural challenges in ensuring effective protection of users’ rights in public services.

El presente trabajo analiza la evolución de los requerimientos de capital a los bancos en la legislación bancaria nacional, su relación con la salvaguarda de los recursos del público confiados a la banca y los efectos de los nuevos estándares propuestos en los Acuerdos de Basilea con relación a esta materia. Primero describimos como se ha concebido la función del capital social de los bancos. La base de esta descripción es la Ley de Bancos 7159, de 1931, que además de asignar al capital las funciones tradicionales del derecho societario, le atribuía una función de garantía para los depositantes y terceros acreedores. The main objective of this research is to determine the basis of the key competencies necessary to achieve the digital transformation of public and private organizations in Peru. With this objective in mind, the conceptual framework involves the definition of a digital transformation in organizations and their impact on those organizations. Secondly, the article presented the results of the exploratory fieldwork conducted through in-depth interviews with ten executives from different productive sectors and analyzed them through content analysis. The general objective of this research is to determine the relationship between professional skills and quality of service in the company Aqua Expeditions SAC, 2020. In this descriptive and correlational study, of non-experimental design, a sample of 319 people has been taken out of a population of 2 357 clients. For this purpose, the survey technique and the questionnaire have been the data collection instruments. Antecedentes: Esta investigación tiene como objetivo principal mostrar de manera general la tecnología FPGA, Field Programable Gate Array – Arreglo de Compuertas programables en el Chip. Se hablará aquí de su arquitectura, empresas fabricantes, descripción de un circuito sencillo usando VHDL, Very High Speed Hardware Description Language, Software Quartus II y la tarjeta Cyclone II de INTEL.
