The social utility of the legal entity takes precedence over static considerations regarding the supposed “nature” of the institution.Partiendo de la crítica a las ideas generales sobre las personas jurídicas, sobre todo en relación con su carácter colectivo, se hace un estudio sobre el rol de la empresa individual de responsabilidad limitada en la actividad económica moderna y la función de la transformación de esta entidad.Para ello, se consideran las necesidades e intereses del empresario, siendo que, en el fondo, la opción por una empresa con un solo miembro, o con varios, resulta siendo coyuntural.
