It also discusses concepts such as “consideration” and its importance in validating a contract, as well as the exceptions to the general rule, such as “promissory estoppel”, which allows the fulfillment of promises without direct economic benefit. It also addresses the evolution of contracts in situations of risk, highlighting how the UCC allocates the risk of destruction of goods and the annulment of contracts for mutual mistake or frustration of purpose. All this, citing diverse case law referred to the implications of the commercial contract. Finally, he briefly explains the doctrine of unconscionability, which prohibits one of the parties to a business deal to take more advantage than necessary, which may mean the oppression of his counterpart with unfair surprises in the written agreement.El trabajo analiza la formación de contratos mercantiles en el sistema jurídico estadounidense, con un enfoque en el problema del riesgo. El autor examina cómo se ha desarrollado la teoría contractual en Estados Unidos, desde una visión rígida y formalista hasta un enfoque más flexible, plasmado en el Código Uniforme de Comercio (UCC). Asimismo, aborda conceptos como la “consideration” y su importancia para validar un contrato, así como las excepciones a la regla general, como lo es el "promissory estoppel", que permite exigir el cumplimiento de promesas sin beneficio económico directo. También aborda la evolución de los contratos en situaciones de riesgo, destacando cómo el UCC asigna el riesgo de destrucción de bienes y la anulación de contratos por error mutuo o frustración del propósito. Todo ello, citando diversa jurisprudencia referida a las implicancias del contrato mercantil.
