Cuando la Cámara de Representantes en el Congreso de los Estados Unidos, por una votación de 234 a 200, aprobó el Acuerdo de Libre Comercio Norteamericano (NAFTA) como ley nacional, se dió un paso decisivo para el futuro económico de los tres países partes del NAFTA: México, Estados Unidos y Canadá. Es más, el Acuerdo que podría tener mayores implicancias para toda América Latina, aportó un fuerte impulso a la americanización de nuestro hemisferio, pues un rechazo del NAFTA en el Congreso estadounidense pudo haber herido mortalmente las posibilidades mercantiles de los Estados Unidos, dejando a las Américas a la deriva. This paper analyzes the Peruvian legal system with special emphasis on their normative hierarchy. In this way, quoting Hans Kelsen, the author mentions the three main classes of norms present in our legal system: i) the Political Constitution; ii) legislation; and iii) administrative acts. Regarding them, the author analyzes their content and also criticizes the influence of the political context in their development. Likewise, he delves into the problems noted with respect to constitutional supremacy and the mechanisms developed to act against the incompatibility of the norms and the Constitution: judicial review, habeas corpus and the provisions of the Organic Law of the Judiciary. Finally, the author analyzes the legislative powers of the Executive Branch and the political framework that influenced their scope.

The paper analyzes the formation of commercial contracts in the U.S. legal system, with a focus on the problem of risk. The author examines how contract theory has developed in the United States, from a rigid and formalistic view to a more flexible approach, embodied in the Uniform Commercial Code (UCC). It also discusses concepts such as “consideration” and its importance in validating a contract, as well as the exceptions to the general rule, such as “promissory estoppel”, which allows the fulfillment of promises without direct economic benefit. It also addresses the evolution of contracts in situations of risk, highlighting how the UCC allocates the risk of destruction of goods and the annulment of contracts for mutual mistake or frustration of purpose. En este pequeño ensayo quiero tratar la cuestión del riesgo en el contrato. Lo escribí inspirado por mi visita al Perú en septiembre de 1985, cuando tuve la oportunidad de participar en una mesa redonda sobre el tema, que tuvo lugar en la Pontificia Universidad Católica del Perú. Resultó uno de los actos académicos más agradables de mi vida, pues fuí el único que aporté conocimientos sobre el sistema norteamericano mientras habían seis magníficos juristas peruanos, todos con una compenetración profunda en el proceso de redacción del Código Civil peruano de 1984. Trajeron a debate aspectos centrales de sus discusiones sobre el Derecho de Contratos, cuando redactaron las normas de los Libros segundo,s exto y séptimo del nuevo Código, y desarrollaron un vibrante intercambio de conceptos y análisis.
