The recent case of the purchase of Quicorp S.A. (owners of the chain of pharmacies Mifarma) by InRetail (owners of the chain of pharmacies Inkafarma) has led to raise the need for a law to control mergers and acquisitions, in order to avoid the consolidation of monopolies or positions of domain in the pharmaceutical market. However, our legal system does not prohibit monopolies or market dominance positions, and the aforementioned merger does not represent a position of market dominance. On the other hand, if there is cause for concern about the existence of another type of monopoly, the one represented by the patents. This article points out some alternative solutions to the problems that have arisen in the Peruvian pharmaceutical market.

The progressive but unstoppable implementation of the Information Society has led to a number of changes in the way individuals understand creative activity and the value of intellectual property.However, the intellectual property system, especially in the case of copyright, has not been able to adapt to these new changes, seeking to tighten the rules of sanction. The enforcement does not seem to work, because the consequences of the digitization, the lack of support and the dematerialization of protected contents have not been understood.Although in the field of patents there is a progressive movement to the flexibilization of the system, the same has not happened in copyright, thus hindering the development of new business models.

Corruption is a complex phenomenon that has been faced only from a traditional perspective, ignoring the economic incentives involved in its greatest incidence. The result of the measures adopted by the State has been quite disappointing, and inefficient in terms of reducing the incidence of corruption acts. This essay aims to address the problem from an economic perspective, based on the approaches of the Public Choice Theory and the New institutionalism. Thus, we will address the way in which economic incentives are aligned in the conduct of corrupt and corruptors, bureaucrats, candidates and voters. Finally, some measures are proposed to reduce the incidence of acts of corruption, considering the aforementioned approaches.

Currently, in economic terms, we face a reality in which resources are scarce and needs are unlimited. Therefore, the most efficient way to manage these scarce resources is to determine a certain value that the market appreciates it. That value, the market is often assigned the price. Indeed, high prices in the market indicate that there is much demand for a product or service, and create incentives for the entry of new suppliers. This situation naturally occurs when markets operate with reasonable efficiency, however there are certain circumstances in which markets do not get efficient results because the prices of goods or services offered to consumers are not consistent with each other. In this circumstance state intervention supported by regulatory standards and designed to correct the imbalances that inevitably will occur public bodies.

The acquisition of technological products confronts consumers with a phenomenon of deep information asymmetry. To adopt an efficient consumption decision, abundant and complex information is required. Consumer protection agencies often transfer the obligation to provide this information to the provider. However, due to the quantity, variety and complexity of the information required, this would only make the final price of the product more expensive, without being useful for all consumers. El reciente caso de la compra de Quicorp S.A. (propietarios de la cadena de farmacias Mifarma) por parte de InRetail (propietarios de la cadena de farmacias Inkafarma) ha llevado a plantear la necesidad de una ley de control de fusiones y adquisiciones, a fin de evitar la consolidación de monopolios o de posiciones de dominio en el mercado farmacéutico. No obstante, nuestro ordenamiento no prohíbe los monopolios ni las posiciones de dominio de mercado, y la fusión en mención no representa una posición de dominio de mercado. Por otro lado, si hay motivo de preocupación por la existencia de otro tipo de monopolio, es el representado por las patentes. El presente artículo plantea algunas alternativas de solución a los problemas presentados en el mercado farmacéutico peruano.

La progresiva pero imparable implementación de la Sociedad de la Información ha llevado a una serie de cambios en la manera en que los individuos entienden la actividad creadora y el valor de la propiedad intelectual.No obstante, el sistema de propiedad intelectual, sobre todo en el caso de los derechos de autor, no ha sabido adaptarse a estos nuevos cambios, buscando endurecer las normas de sanción. El enforcement no parece funcionar, pues no se han entendido las consecuencias de la digitalización, la intrascendencia del soporte y la desmaterialización de contenidos protegidos.Si bien en el campo de las patentes hay un progresivo movimiento a la flexibilización del sistema, no ha sucedido lo mismo en los derechos de autor, obstaculizando así el desarrollo de nuevos modelos de negocio.
