description La presente Tesis, está titulada como: “LA VENTA DE UNA ACCIÓN SIN RESPETAR EL DERECHO DE ADQUISICIÓN PREFERENTE Y LA AFECTACIÓN AL DERECHO DE PROPIEDAD DEL ADQUIRIENTE DE BUENA FE”, en la cual se busca realizar un estudio y análisis minucioso sobre el comportamiento de las acciones y el derecho de adquisición preferente en la sociedades, teniendo en cuanta el principio de buena fe de la persona que adquiere las acciones, por lo que se planteó el siguiente problema: ¿De qué manera la venta de una acción sin respetar el derecho de adquisición preferente afecta el derecho de propiedad del adquiriente de buena fe en el Perú 2017?. Para el desarrollo de la presente investigación, se plantearon una hipótesis de investigación que es la siguiente: “La venta de una acción sin respetar el derecho de adquisición preferente afecta vulnerando el derecho de propiedad del adquiriente de buena fe en el Perú, 2017”; y una hipótesis nula: “La venta de una acción sin respetar el derecho de adquisición preferente no afecta vulnerando el derecho de propiedad del adquiriente de buena fe en el Perú, 2017; justamente por la especialidad de la ley societaria que la regula”. Según el tipo de investigación según su fin es básica, y por el tipo de alcance explicativa y por el diseño de investigación es no experimental. Para poder realizar el desarrollo de la presente tesis, se ha realizado un análisis bibliográfico, fichas de entrevista, y las entrevistas se dirigen a personas expertas en la materia de investigación, como abogados, y docentes universitarios. Además, es necesario precisar que se recopilo información de páginas web especializadas, libros y revistas de la materia. Finalmente, se determinó que la venta de una acción sin respetar el derecho de adquisición preferente afecta vulnerando el derecho de propiedad del adquirente de buena fe en el Perú, 2018.

For the development of the present investigation, a research hypothesis was proposed that is the following: ““The sale of an action without respecting the right of preferential acquisition affects violating the property right of the purchaser in good faith in Peru, 2017““; and a null hypothesis: ““The sale of an action without respecting the right of preferential acquisition does not affect violating the property right of the acquirer in good faith in Peru, 2017; precisely because of the specialty of the corporate law that regulates it ““. According to the type of research acorrding to the porpouse is basic,by the type of explanatory scope and by the research design it is non-experimental. In order to carry out the development of this thesis, a bibliographical analysis, interview files and interviews have been conducted with experts in the field of research, such as lawyers, and university professors.
