The purpose, content, negotiation of representations and warranties and finally the consequences of their breach are explained.En el presente artículo se describen primero las características principales del Project Finance, las relaciones jurídicas que se construyen alrededorde una operación de financiamiento de este tipo y la estructura común de los contratos de préstamo. Luego se profundiza sobre una parte específicade la estructura de los contratos de préstamo, que es la cláusula en la que constan las declaraciones y aseveraciones (representations and warranties).
