One of the amendments provided that the Law on Merger Control added, as a criterion to be considered for the procedures for assessing a merger, the financial crisis of one of the companies concerned and the need to carry out the merger duly accredited by the notifying parties. In this paper, the author observes that the fact that one of the companies is undergoing financial difficulties is not sufficient to allow for flexibility in the merger control. To demonstrate this, he presents a brief description of the failing firm defense from a historical perspective, the most relevant precedents in the United States and the European Union, and the current requirements for its accreditation in those jurisdictions and in Latin American countries. Finally, he presents the economic, industrial and social rationality underlying this exception and the possibilities of being applied in Peruvian practice.El 11 de mayo de 2020, en medio de la crisis sanitaria y económica provocada por el COVID-19, se emitió el Decreto Legislativo 1510, que realizó una serie de modificaciones a diversas normas en materia de libre y leal competencia. Una de las modificaciones dispuso que la Ley de control previo de operaciones de concentración empresarial agrega, como criterio a considerar para los procedimientos de evaluación de una operación de concentración, la grave situación de crisis de alguna de las empresas involucradas y la necesidad de realizar la ope-ración de concentración debidamente acreditada por las partes notificantes.En el presente artículo, el autor señala que el solo hecho de estar frente a una empresa con dificultades financieras no es suficiente para admitir la flexibilización en el control de las operaciones de concentración. Para demostrarlo, presenta una breve descripción de la failing firm defense desde una perspectiva histórica, sus precedentes jurisprudenciales más importantes en los Estados Unidos y la Unión Europea, y los requisitos actuales para acreditarla en dichas jurisdicciones y en paí-ses de Latinoamérica.
