Todo esto, con el fin de demostrar los problemas interpretativos y de aplicación que genera la actual regulación en la Ley General de Sociedades y proponer una propuesta de normativa para las vías de cuestionamiento de validez de acuerdos societarios en el Perú que reduzca costos de agencia y permita resolver los problemas aplicativos de la actual regulación.

Todo esto, con el fin de demostrar los problemas interpretativos y de aplicación que genera la actual regulación en la Ley General de Sociedades y proponer una propuesta de normativa para las vías de cuestionamiento de validez de acuerdos societarios en el Perú que reduzca costos de agencia y permita resolver los problemas aplicativos de la actual regulación.The objective of this thesis is to highlight the urgent need to fully reformulate the current regulation of the ways of challenging the validity of corporate agreements outlined in Law Nº 26887, the Peruvian Corporate Law, upon an analysis based on three main milestones: (i) analysis and development of fundamental concepts to correctly understand the institution of the ways of challenging the validity of corporate agreements; (ii) the development and criticism of the current regulation in Peruvian Corporate Law, of the jurisprudential and doctrinal analysis that has been given to this institution; and (iii) the study of this institution from the Common Law (United States and the United Kingdom) and Continental Law (Spain) to understand how they have regulated this institution in their jurisdictions.
