Despite its high complexity and significant presence in contemporary legal-economic transactions, construction contracts are, from a legal perspective, still part of a field rarely explored by national academics. In the present article, which is part of a long-term research on the subject, we will only analyze the typical components that characterize the activity of construction contractors. The aforementioned development is justified to the extent that it will help to understand and apply in an appropriate way the general (civil) and sectorial rules on the matter. In more detail, we hope that the conclusions of the present research shed light on the elucidation of the level of risk that contractors must assume in the development of their contractual services, given the peculiarities of their activity.

This work addresses, from a legal perspective, a legal remedy specific to construction contracts that has significant practical applicability in contemporary projects: the back charge. Despite its importance, the understanding of the back charge as a contractual instrument and as a private legal remedy is still quite limited, resulting in significant gaps in legal knowledge on the subject in Peru and, in general, in civil law jurisdictions.In light of this reality, this legal research article proposes a basic configuration of the back charge, its concept, characteristics, and standard operation, as well as its main practical and dysfunctional aspects. It also examines whether the Peruvian Civil Code recognizes any similar legal remedy. Nowadays, it is not uncommon for general contractors to seek to govern their legal relationships with some of their subcontractors through back-to-back provisions. The principles that guide this type of agreements do not have a univocal logical-conceptual development, so their scope always depends on the intensity that, by virtue of their freedom of contract, the parties assign to the particular drafting of each subcontract. Despite this, it is currently possible to realize that there is a common minimum ground that describes the backbone of this kind of agreement. Ad corpus real estate sales are a globalized transactional modality today. Even though they are designed for exchanges of existing real estates, the transactional practice shows that this modality is frequently applied (especially in standardized contracting) to the presale real estate agreements. This extrapolation has resulted in more than a few legal problems where INDECOPI has intervened in ways that are not always uniform.This work will analyze the problem of the scope of application of article 1577 of the Civil Code (which governs the “as is” clause) and its consequences on private and consumer real estate contracts. This is a complex issue that has been doctrinally and jurisprudentially addressed in our country but with a non-particularly ambitious nor convincing focus.

One of the most important –and controversial– ways in which the legislator intervenes in standardized contracts (i.e., contracts with general contracting clauses and adhesion contracts) lies in the possibility for jurisdictional authorities to control their contractual content. The purpose of this intervention is to eliminate or substitute clauses effectively incorporated in them for being abusive or vexatious.
