La presente investigación propone la regulación de las cláusulas sandbagging dentro del ordenamiento jurídico peruano. Estas cláusulas, que se utilizan en las fusiones y adquisiciones de empresas, tienen como objetivo establecer las consecuencias jurídicas del incumplimiento de las declaraciones y garantías del vendedor. En la actualidad, el ordenamiento jurídico peruano no regula estas cláusulas, lo que genera incertidumbre y puede disuadir a los inversores extranjeros de realizar operaciones en el país. Para tal efecto, la investigación utilizó la técnica analítica, documental y de fichaje para estudiar la figura de las fusiones y adquisiciones y cómo las cláusulas sandbagging intervienen en ellas.
