A estas personas que dirigen una sociedad mercantil – sin contar con las formalidades exigidas por ley - se les denomina administrador de hecho o responsable de hecho. Por ello, el propósito de la presente investigación es determinar si resulta necesaria la regulación del responsable de hecho de la sociedad mercantil; a fin de lograr un adecuado empleo de las personas jurídicas de derecho privado, en nuestro país, y previniendo con ello las posibles actividades ilícitas que pueden realizar en contra de la sociedad y/o terceros; teniendo en cuenta que esta figura no se encuentra regulada en la actualidad. No obstante a lo señalado anteriormente, debemos indicar que la figura en mención ha sido objeto de tratamiento doctrinario y jurisprudencial en la doctrina nacional y comparada. Por lo expuesto, consideramos necesaria la regulación de la figura de administrador de hecho o responsable de hecho en nuestro texto societario, por cuanto permitiría obviar la impunidad en la que quedarían las actuaciones delictivas perpetradas bajo el manto de una persona jurídica por miembros de la misma perfectamente individualizables, por lo que el presente trabajo de investigación busca determinar si resulta necesaria la regulación del responsable en la sociedad mercantil.
