El presente trabajo de investigación de versa sobre la nulidad e impugnación de acuerdos societarios. El tema materia de estudio, se basa en las incongruencias normativas en los artículos 38°, 139° y 150° de la Ley General de Sociedades, que tratan los supuestos de nulidad e impugnación de acuerdos societarios. Dichos artículos han generado una serie de jurisprudencias controvertidos y contradictorios en nuestro sistema judicial en materia de impugnación y nulidad de acuerdos, por lo que un sector mayoritario de la doctrina considera que utilizando de una forma sistemática y coherente el sistema de las ineficacias negóciales, desarrolladas ampliamente en la dogmática civil, se puede coadyuvar a una regulación más equilibrada y coherente que permita a los operadores del Derecho tener una mayor claridad en la resolución de controversias jurídicas y en el esclarecimiento de las incertidumbres que este tema acarrea. |

The subject matter of study is based on regulatory inconsistencies in articles 38 °, 139 ° and 150 ° of the Corporations Act, which deal with cases of nullity and challenge of corporate resolutions.
