It underscores how a proper channeling of discretion—guided by the normative telos and, in particular, by the aims of ex ante prevention and ex post reparation—can help strengthen the effectiveness and rationality of the system, reducing the risks of arbitrariness and excessive unpredictability in judicial decisions. The paper concludes by identifying possible avenues for reform aimed at consolidating normative determination and achieving a balance between efficiency requirements and safeguards.El ensayo analiza el papel de la discrecionalidad en el sistema de responsabilidad de las personas jurídicas previsto en Italia por el Decreto Legislativo N.º 231/2001, destacando la flexibilidad de los elementos constitutivos de la infracción “corporativa” por la comisión de delitos, las persistentes incertidumbres acerca de la evaluación del defecto de organización y la amplitud del poder judicial en la determinación de las sanciones corporativas. Se subraya cómo una correcta canalización de la discrecionalidad, orientada al telos normativo y, en particular, a los objetivos de la prevención ex ante y de la reparación ex post, puede contribuir a reforzar la eficacia y la racionalidad del sistema, reduciendo los riesgos de arbitrariedad y excesiva imprevisibilidad de las decisiones judiciales.
