In this way, the main factors that affect the effectiveness of good corporate governance practices in State companies are explained in comparison to the effectiveness that can occur in companies with purely private shareholders. For this analysis, the case of companies under the scope of FONAFE and Petroperú will be taken as a reference. Finally, proposals are made to improve the development of good corporate governance practices in state companies.El artículo desarrolla el concepto de buen gobierno corporativo y cómo ha sido incorporado en la normativa para las sociedades y, en especial, las empresas propiedad del Estado. De tal manera, se explican los principales factores que afectan la efectividad de las prácticas de buen gobierno corporativo en las empresas del Estado en comparación a la efectividad que se puede presentar en las sociedades con accionariado netamente privado. Para dicho análisis se tomará como referencia el caso de las empresas bajo el ámbito de FONAFE y Petroperú.
