Using a qualitative methodology, a systematic study is conducted of the main regulatory sources—including Legislative Decree N°. 299, the Civil Code, and the Consumer Protection and Defense Code—along with specialized doctrine and jurisprudential criteria. The diagnosis reveals that the current control system is fragmented, reactive, and ineffective. This fragmentation stems from the coexistence of entities with distinct competencies, such as the Superintendence of Banking, Insurance and Pension Fund Administrators, Indecopi, the Judiciary, and arbitration, which operate without a coordinated approach. Furthermore, its reactive nature means it is primarily activated ex post—that is, after the harm has already occurred. Additionally, its ineffectiveness is evident due to minimal preventive or ex ante control by the SBS, which fails to conclusively mitigate the power imbalance between the parties. Based on this diagnosis, reform proposals are put forward to prevent the use of abusive clauses and improve transparency. The objective is to contribute to a more equitable regulation that balances contractual freedom with the protection of the adhering party.

El análisis se enfoca en el rol de las autoridades administrativas, judiciales y arbitrales, prestando especial atención a las deficiencias en la protección del arrendatario, con independencia de si este ostenta la calidad de consumidor. Desde una metodología cualitativa, se realiza un estudio sistemático de las principales fuentes normativas —incluyendo el Decreto Legislativo N.º 299, el Código Civil y el Código de Protección y Defensa del Consumidor—, junto con doctrina especializada y criterios jurisprudenciales. El diagnóstico revela que el sistema de control actual es fragmentado, reactivo e ineficaz. Esta fragmentación se debe a la coexistencia de entidades con competencias distintas, como la Superintendencia de Banca, Seguros y AFP, Indecopi, el Poder Judicial o el arbitraje, que operan sin un enfoque coordinado. Además, su naturaleza reactiva se activa principalmente ex post, es decir, después de que se ha producido el perjuicio. Adicionalmente, se evidencia su ineficacia debido al mínimo control preventivo o ex ante por parte de la SBS, lo que no logra mitigar de manera contundente el desequilibrio de poder entre las partes.
